Terms and Conditions

Home/Terms and Conditions

These Terms and Conditions (“Terms”) govern use of dtechsoftwares.com, purchases of software licences, and related services supplied by Dtech Softwares (“Provider”, “we”). By creating an account, placing an order, activating a licence, or using our website, you (“Client”, “you”) agree to these Terms. They are Provider’s standard terms for all website customers. A signed quotation, invoice, maintenance agreement, or other written contract prevails over these Terms to the extent of any conflict.

These Terms are governed by the laws of the Republic of Ghana, including the Electronic Transactions Act, 2008 (Act 772) as it applies to electronic contracts. Last updated: 29 September 2026.

1. Who we are

Dtech Softwares supplies licensed software products, templates, training, and professional services to schools, clinics, and businesses. Contact: info@dtechsoftwares.com · +233 55 484 5758 · Nii Adjei Tsuru Road 160, Madina-Estates, Ghana.

2. Accounts and the website

You must provide accurate registration details and keep your password confidential. You are responsible for activity under your account. We may suspend an account that we reasonably believe is being misused, is in arrears, or threatens the security of the platform. Website content is provided for information; it is not a binding offer until an order is accepted or a written quotation is accepted.

3. Orders, prices, and tax

Prices are shown in the currency you select (typically Ghana Cedis). Unless stated as inclusive, prices are exclusive of Value Added Tax, the National Health Insurance Levy, the GETFund levy, and any other tax or levy chargeable in Ghana, which you must pay in addition. An order is accepted when we confirm it or issue a licence or invoice. We may refuse or cancel an order where payment fails, details are incomplete, or fulfilment is not reasonably possible.

Payment is due as stated at checkout or on the invoice. Time is of the essence. Unpaid sums may attract interest at the Bank of Ghana monetary policy rate plus two (2) percent per annum, and we may withhold licences, downloads, or support until arrears are cleared.

4. Software is licensed, not sold

Unless a separate written assignment of source code or ownership is executed and paid for, all software, documentation, templates, and related works remain the intellectual property of Provider or its licensors. Your purchase grants a non-exclusive, non-transferable licence to use the product for your internal operations, for the edition, seat or activation limits, territory, and term stated at purchase or on the licence record.

You may not reverse-engineer (except to the limited extent permitted by mandatory law), sublicense, rent, publish licence keys, circumvent activation or validation, or use the software to provide a competing bureau service without our written consent.

5. Activation, updates, and support

Licences may require online or offline activation against a machine or installation identifier. You may move a licence in accordance with the product’s published process (typically deactivation then reactivation). Updates are supplied where your licence and the product’s update channel so provide. Ordinary storefront support is described in our FAQ and account portal. Annual maintenance and support retainers, if purchased, are governed by the conditions on the relevant invoice or by a signed maintenance agreement.

6. Custom work and estimates

Project requests, estimates, and demonstrations are invitations to treat. They are not binding until a written quotation or contract is accepted. Scope, fees, milestones, and acceptance are those recorded in the quotation, statement of work, or services contract. Change requests require written agreement on effort and any extra fee.

7. Client data and acceptable use

You warrant that you have the right to supply any content or personal data you upload or send us, and that your use of the software complies with applicable law (including education, health, and data-protection rules that apply to your organisation). You must not use our systems to store or transmit unlawful material, to attack other systems, or to interfere with licensing.

Personal data is handled as described in our Privacy Policy. For operational records in a school, clinic, or business system, you are the data controller; we process such data only to provide the product or service.

8. Warranties

We will supply licences and perform services with reasonable skill and care. Software is provided to perform materially in accordance with its published description at the time of purchase. We do not warrant uninterrupted or error-free operation, or fitness for a purpose we have not agreed in writing. Except as required by Ghana law, all other warranties (express or implied) are excluded to the fullest extent permitted.

9. Limitation of liability

Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any liability that cannot be limited under Ghana law.

Subject to that, Provider is not liable for loss of profit, revenue, data, goodwill, or any indirect or consequential loss. Provider’s aggregate liability arising out of the website, a licence purchase, or related services is limited to the fees you paid for the relevant product or service in the twelve (12) months before the claim (or, for a single licence purchase, the fees paid for that licence).

10. Termination

You may stop using the website at any time. We may terminate or suspend a licence or account for material breach not remedied within fourteen (14) days of notice, for non-payment, or where required by law. On termination you must cease use of the software except as a paid licence still in force allows. Clauses that by their nature should survive (including intellectual property, confidentiality, limitation of liability, and governing law) remain in effect.

11. Notices and disputes

Notices may be given by email to the addresses on your account or on our website. The parties shall first attempt in good faith to settle any dispute. Failing settlement within twenty-one (21) days, the courts of competent jurisdiction in Accra have exclusive jurisdiction, without prejudice to Provider’s right to seek interim relief.

If any provision is held invalid, the remainder continues in force. A failure to enforce a right is not a waiver.
